### Terms and Conditions for Non-Exhibiting Suppliers

## 1. Attendance Requirements
– Non-exhibiting suppliers must purchase a ticket ($2,000 per person) to walk the show
– All participating non-exhibiting suppliers must register separately for each event they wish to attend
– Registration is non-transferable
## 2. Cancellation Policy
– The attendance fee is fully refundable up to five business days after registration. No refunds will be issued after this period. Refunded registrations forfeit the booth credit described in Section 3.
## 3. Booth Credit Toward Future Exhibiting
– Non-exhibiting suppliers who pay the full attendance fee of $2,000 receive a $1,000 credit toward the purchase of booth space at a Materials Show in the following edition.
– The Materials Show produces two editions per year, each consisting of a Northeast (NE) and a Northwest (NW) event. The credit applies only to the edition following the event attended — it may not be applied to the companion NE or NW event within the same edition. For example, a credit earned at the Summer NE show may be applied to either the NE or NW show of the following edition, but not to the Summer NW show.
– **Suppliers who wish to redeem this credit must contact show management before registering as an exhibitor.** The credit cannot be applied retroactively once an exhibitor registration has been submitted or payment processed.
– The credit is issued once per company, regardless of the number of passes purchased, and is non-transferable. It may be used only by the company named on the registration.
– The credit expires if not applied to booth space in the following edition. It has no cash value and is not redeemable for a refund.
– The credit applies to booth space only and does not apply to furnishings, electrical, or other show services.
– If the attendance fee is refunded under Section 2, the credit is void.
## 4. Badge Policy and Identity Verification
– All attendees must wear a visible event badge at all times on the show floor
– Badge sharing or unauthorized transfers are strictly prohibited
– Identity verification may be required at any time
– Non-compliance with badge policies may result in removal from the event and restrictions on future participation
## 5. Press and Photography Regulations
– Photography is only permitted with prior approval from show management. Violators will be asked to leave.
## 6. Waiver and Liability
– Attendees assume full responsibility for any losses, damages, or claims arising from their participation in the event
– Attendees agree to indemnify and hold harmless the event venue, American Events, Inc., and its affiliates from any claims, damages, or liabilities
– American Events, Inc. reserves the right to cancel or close the show due to Force Majeure (any act of God) without incurring any legal or financial liability.
## 7. Compliance and Conduct
– Attendees must comply with all applicable laws and regulations, including but not limited to intellectual property rights, health, and safety standards
– Intellectual property rights of exhibitors, brands, and other attendees must be respected
– All attendees must demonstrate professional courtesy and restraint when interacting with visitors and others on the show floor
## 8. Prohibited Activities
The following activities are strictly prohibited within the bounds of The Materials Show and the exhibition space:
**Suitcasing Prohibition:**
– Distribution of materials, samples, or promotional items to show attendees
– Private meetings with buyers or other attendees for business purposes within the exhibition space
– Any form of direct selling or business solicitation on the show floor
**Additional Prohibited Activities:**
– Promotion of competing trade shows, events, or organizations
– Headhunting, recruiting, or soliciting employment opportunities
– Selling advertising space for competing media organizations
– Representing competing trade show organizers/promoters
– High-pressure sales tactics or aggressive solicitation
– Any behavior that competes directly with or undermines The Materials Show
Any attendee found engaging in prohibited activities may be subject to immediate removal from the event and restrictions on future participation.
## 9. Management Discretion
– American Events, Inc. reserves the right to deny entry to anyone or revoke access to maintain the event’s integrity and quality.
## 10. Dispute Resolution
– Any disputes arising from participation in the event should be resolved amicably through negotiation
– If an amicable resolution cannot be reached, disputes will be settled through binding arbitration in a designated location determined by American Events, Inc.
## 11. Updates to Terms and Conditions
– American Events, Inc. reserves the right to update these terms and conditions at any time
– Attendees will be promptly notified of any changes

## WAIVER
The attendee assumes the entire responsibility and liability for losses, damage, and claims arising out of their activities at the convention center and exhibit hall premises, and will indemnify and defend and hold harmless the convention center, its agents, servants, and employees from any and all such losses, damages, and claims.
If violations of any of these rules occur or by the existence of any condition not known to American Events, Inc., American Events, Inc. reserves the right of canceling attendance with no legal or financial liability whatsoever to be incurred by American Events, Inc.
By purchasing a non-exhibiting supplier ticket and attending The Materials Show, attendees agree to adhere to these terms and conditions to ensure a successful and professional event for all participants. Additionally, by accepting these terms and conditions, the non-exhibiting supplier acknowledges that they have filled out their registration form truthfully and accurately.
